Proposition – this term in the Commercial Law refers to a concrete proposal for concluding a contract which, if accepted, completes the contract and binds both the party that made the offer and the party accepting the offer to the terms of the contract. I.e. the acceptance of the proposition is binding both parties to perform the contract so a liability could be claimed by the party which has accepted the proposition but did not fulfill their obligations rising from the contract. See also “acceptance”. A synonym is “offer”.
